CreatorStore Labs LLC ("CreatorStore," "we," "us," "our") provides its services to you through its website located at https://creatorstore.co/ (the "Site") and related technologies and services (collectively, the "Service(s)"), subject to these Terms of Service (as amended from time to time, the "Terms of Service").
By accessing, browsing, or otherwise using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not accept these Terms of Service, you may not use the Service. If you are entering into these Terms of Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.
We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. If we do, we will post the changes here and indicate the date of last revision at the top. We will also notify you through the Service, by email, or by other reasonable means. Changes become effective no earlier than fourteen (14) days after they are posted, except that changes addressing new functions or made for legal reasons are effective immediately. Your continued use after changes become effective constitutes acceptance.
IF YOU ARE ENTERING INTO THESE TERMS OF SERVICE AS AN INDIVIDUAL, PLEASE READ SECTION 12 CAREFULLY: IT CONTAINS AN AGREEMENT TO ARBITRATE AND A CLASS-ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. THIS DOES NOT APPLY TO CONSUMERS RESIDENT IN THE EEA OR UK — SEE SECTION 18.
When using the Service, you are also subject to the following documents, each of which is incorporated into these Terms of Service by reference: our Privacy Policy, Cookie Policy, Acceptable Use Policy ("AUP"), and, where you use the Service as a Creator to process Customer personal data, our Data Processing Addendum ("DPA").
PLATFORM NATURE — IMPORTANT NOTICE. CreatorStore is a technology platform, not a seller, publisher, retailer, financial-services provider, employer, agent, escrow, or fiduciary. We provide software tools and lead-generation infrastructure that enable independent Creators to establish and operate their own online businesses. Every storefront hosted on the Service is owned, priced, marketed, staffed, and operated by an independent Creator, not by CreatorStore. Except for a Creator's direct subscription to the Service, CreatorStore is not a party to any transaction between a Creator and a Customer. All questions about a specific storefront, product, service, price, delivery, quality, refund, cancellation, or Customer service should be directed to the Creator that owns that storefront, not to CreatorStore. Creators use the Service as independent businesses at their own risk; Customers deal with Creators at Customer's own risk.
1. Access and Use of the Service
a. Nature of the Service — Technology Platform Only. CreatorStore provides an online commerce technology platform, marketplace software, storefront-hosting tools, and lead-generation and payment-integration infrastructure that enable independent content creators ("Creators") to establish, operate, and market their own online storefronts and to independently sell their own digital goods, content, services, consultations, and subscriptions ("Creator Content") directly to their fans, followers, and prospective customers ("Customers"). CreatorStore is a technology intermediary. CreatorStore is not a merchant, seller, publisher, distributor, retailer, reseller, editor, curator, escrow agent, guarantor, licensor of Creator Content, or provider of any Creator Content, Creator services, or Customer services. Every storefront hosted on the Service is owned and operated by the individual Creator, not by CreatorStore, and represents the independent business of that Creator.
The Service also includes an AI-powered tool, "AI Autofill," that assists Creators with content generation — for example, by suggesting product fields based on a description the Creator provides ("AI Technology"). Certain aspects of the Service are powered by proprietary and third-party technologies, including artificial intelligence, machine learning systems, and third-party large language models.
b. Platform Functionality — We Are Not a Party to Creator Transactions. Except for the direct subscription relationship between CreatorStore and each paying Creator (governed by Section 2 and Section 3(a)), CreatorStore is not a party to any transaction between a Creator and a Customer. All commercial transactions in Creator Content are formed exclusively between the Creator and the Customer. Without limitation, CreatorStore does not: (i) select, list, market, curate, endorse, sponsor, warrant, or promote any specific Creator or Creator Content; (ii) set, review, negotiate, approve, or moderate any price, discount, term, delivery schedule, cancellation policy, or refund policy of any Creator; (iii) deliver, fulfill, perform, render, supervise, or quality-assure any Creator Content, whether a digital file, coaching session, webinar, subscription, consultation, or any other product or service; (iv) hold, custody, escrow, receive, or route any funds paid by a Customer for Creator Content — payments flow directly from the Customer to the Creator's own Stripe Connected Account under Stripe's agreements with the Creator and the Customer; (v) determine who may become a Creator's Customer, who a Creator does business with, or which jurisdictions a Creator may serve; (vi) provide Customer service, dispute resolution, complaint handling, or refund processing on behalf of any Creator; or (vii) act as agent, broker, fiduciary, employer, principal, sponsor, or trustee for any Creator or Customer. CreatorStore is neither the author, creator, publisher, distributor, nor owner of any Creator Content.
Our Service allows Creators to manage and streamline the administrative aspects of their business. Creators are solely responsible for:
Ensuring Creator Content compliance with all applicable laws, rules, and regulations;
Delivering Creator Content as described, in an accurate and satisfactory manner;
Processing returns, refunds, and chargebacks (see Section 1(g));
Providing customer support for their Creator Content;
Maintaining accurate Creator Terms & Conditions and any required disclosures.
CreatorStore has no control over and does not guarantee: (a) the existence, quality, safety, suitability, or legality of Creator Content; (b) the truth or accuracy of Creators' descriptions; (c) the ability of Creators to fulfill purchases; (d) the ability of Customers to pay; (e) that any transaction will be completed; or (f) the safety, suitability, or legality of communications between users.
c. Your Registration Obligations. You may be required to register to access certain features. You agree to provide and maintain true, accurate, current, and complete information. Registration data is governed by our Privacy Policy.
You must be at least 16 years old to use the Service. If you are between 16 and 17 years old, you may use the Service only with the approval and supervision of your parent or legal guardian. Children under 16 are not permitted to use the Service. Note that purchasing Creator Content may require you to be at least 18 (or to have parental/guardian consent), as stated in the relevant Creator's Terms & Conditions, because a purchase forms a binding payment contract.
d. Member Account, Password, and Security. The individual or entity that opens an account and accepts these Terms of Service (the "Account Owner") is the contracting party. You are responsible for maintaining the confidentiality of your password and account and are fully responsible for all activities under your account. You agree to immediately notify us of any unauthorized use. Accounts are generally not transferable. We will not be liable for any loss arising from your failure to comply with this Section.
e. Modifications to the Service. We reserve the right to modify or discontinue the Service (or any part) with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance.
f. General Practices Regarding Use and Storage. We may establish general practices and limits concerning use of the Service, including data retention periods and storage limits. We have no responsibility for the deletion or failure to store content. We may terminate accounts that are inactive for an extended period and may change these practices at any time.
g. Refunds and Chargebacks. Refunds are the sole responsibility of the Creator, not CreatorStore. All sales of Creator Content are between the Creator and the Customer. Customers must contact the Creator directly for refunds, returns, or cancellations. We do not process refunds for Creator Content.
If you are a Creator, you agree that you are solely responsible for processing refunds, returns, and chargebacks; you must publish clear refund and cancellation policies in your Terms & Conditions before accepting payments; you must respond to refund and chargeback requests in a timely manner consistent with applicable consumer protection laws; and excessive chargebacks may result in suspension or termination, with CreatorStore reserving the right to recover associated fees from your account balance, to the extent permitted by our payment processor's arrangements.
h. Chargebacks, Reserves, and Fraud Protection. By using the Service to accept payments, Creators authorize CreatorStore to (i) deduct a $25 administrative fee from the Creator's account balance for each chargeback, dispute, or refund reversal initiated by a Customer; (ii) place a reserve of up to 25% of the Creator's rolling 60-day payment volume where CreatorStore reasonably determines a heightened risk of chargebacks, fraud, non-delivery, or non-compliance with these Terms; (iii) reverse, hold, or delay payout of any transaction that CreatorStore reasonably suspects is fraudulent, in violation of these Terms, or in violation of applicable law, pending investigation; (iv) offset any outstanding amounts (including chargeback fees, refund liabilities, platform fees, taxes, and payment processor penalties) against future Creator payouts or the reserve; and (v) require Creators to provide additional identity, business, or beneficial-ownership information at any time.
Chargeback ratios exceeding 1% of the Creator's monthly transaction volume, or a pattern of Customer complaints, refund disputes, or Stripe policy violations, may result in immediate suspension of the Creator's account without prior notice and forfeiture of pending payouts pending resolution. Creators are solely liable for all financial penalties, fees, or reserve requirements imposed on CreatorStore by Stripe or any other payment processor due to the Creator's activity. Creators agree to indemnify CreatorStore for such penalties and fees.
i. Creators Operate as Independent Businesses. Each Creator using the Service operates their own independent business. By using the Service, the Creator represents, warrants, and agrees that:
(i) they are engaged in an independent trade, occupation, business, or profession that is distinct and separate from CreatorStore, and they use the Service as a tool of their own independent business;
(ii) they are solely responsible for the operation, financing, staffing, marketing, distribution, and delivery of their business, and for all decisions regarding what to sell, how to price it, where to sell it, when to sell it, whom to sell it to, and how to fulfill it;
(iii) they set their own prices, product mix, service offerings, hours of operation, refund and cancellation policies, promotional strategies, sales channels, and business model, subject only to the AUP, our payment processors' rules, and applicable law;
(iv) they may operate concurrently on other platforms, on their own websites, or offline, with no exclusivity, non-compete, or minimum-sales obligation to CreatorStore;
(v) they bear all business risk, upside, and loss arising from their business, including but not limited to risks of low sales, chargebacks, refund liability, tax liability, product liability, professional liability, regulatory fines, and disputes with Customers, suppliers, or third parties;
(vi) CreatorStore neither guarantees nor represents any level of income, revenue, profit, sales volume, Customer acquisition, retention, engagement, ranking, visibility, or business success achievable through use of the Service; any illustrative figures, case studies, or projections shown in CreatorStore marketing are aspirational examples and not commitments;
(vii) they are not, and will not represent themselves or their contractors as, an employee, worker, agent, representative, partner, joint venturer, or franchisee of CreatorStore;
(viii) they are not eligible for and do not receive from CreatorStore any employment benefit, unemployment insurance, workers' compensation, minimum wage, overtime, paid leave, retirement contribution, health benefit, or other protection under any labor, employment, or social-security law of any jurisdiction;
(ix) they are solely responsible for classifying, engaging, contracting, insuring, supervising, paying, and reporting on any of their own employees, independent contractors, freelancers, or subcontractors, and CreatorStore has no obligation to any such person and does not become an employer, joint employer, or co-employer of any such person by virtue of the Creator's use of the Service; and
(x) they are solely responsible for obtaining and maintaining any professional license, permit, business registration, industry certification, and insurance (including general liability insurance, professional/errors-and-omissions insurance, product-liability insurance, and cyber insurance as appropriate to their trade) required to operate their business.
CreatorStore does not exercise control over Creators or Creator Content beyond the technical operation of the Service and the reasonable enforcement of these Terms of Service, the AUP, applicable payment-processor rules, and applicable law. No provision of these Terms is intended to give rise to any employment, agency, joint-employer, franchise, or fiduciary relationship between CreatorStore and any Creator.
j. No Verification, Screening, or Endorsement of Creators or Creator Content. CreatorStore does not (i) verify the identity, age, qualifications, credentials, background, licenses, insurance, or business standing of Creators beyond identity verification performed by Stripe as part of the Stripe Connected Account onboarding; (ii) verify the truth, accuracy, completeness, quality, safety, legality, non-infringement, or fitness for any purpose of any Creator Content, description, testimonial, or marketing claim; (iii) endorse, sponsor, recommend, vouch for, or provide any warranty regarding any Creator or any Creator Content; (iv) mediate, arbitrate, resolve, or take any position on disputes between Creators and Customers; or (v) provide legal, tax, financial, accounting, medical, mental-health, fitness, nutrition, coaching, or other professional advice through the Service, whether directly or through Creators. Customers deal with Creators at Customer's own risk. Any decision by a Customer to enter into a transaction with a Creator, engage a Creator's services, receive advice from a Creator, or rely on any Creator Content is made independently by the Customer, without any representation, warranty, or duty of care from CreatorStore.
2. Creator-Specific Terms
a. Creator Subscription. To access the full Creator features, you must purchase a CreatorStore subscription (monthly or annual). You authorize us to charge your payment instrument on a periodic basis for your selected plan.
UNLESS YOU NOTIFY US BEFORE A CHARGE THAT YOU WANT TO CANCEL OR NOT AUTO-RENEW, YOUR SUBSCRIPTION WILL AUTOMATICALLY CONTINUE AND YOU AUTHORIZE US (WITHOUT NOTICE, UNLESS REQUIRED BY LAW) TO COLLECT THE THEN-APPLICABLE FEE AND ANY TAXES USING ANY ELIGIBLE PAYMENT METHOD ON RECORD. YOU MAY CANCEL ANY TIME IN YOUR ACCOUNT BY SELECTING "CANCEL SUBSCRIPTION."
Subscription benefits may change over time, with prior notice. Subscription fees are non-refundable except as expressly set forth here or required by applicable law.
b. Creator Terms & Conditions. Creators must publish their own Terms & Conditions on their checkout pages. We provide a default Terms & Conditions template that will be displayed if you do not customize your own. The default template is a starting point only and does not constitute legal advice. You should review and modify it to describe your business; include clear refund, cancellation, and delivery policies; comply with applicable consumer protection laws; and consult a qualified attorney where needed. You are solely responsible for the legal sufficiency of your Terms & Conditions (including the U.S. FTC Act, the EU Consumer Rights Directive, the UK Consumer Rights Act, and other applicable laws).
c. Data Protection (Creators). Where CreatorStore processes Customer personal data on your behalf, that processing is governed by our Data Processing Addendum ("DPA"), which is incorporated into these Terms of Service and applies automatically upon your use of the Service to collect, store, or process Customer personal data. Where you act as an independent controller of Customer data, you are responsible for your own compliance, including providing required notices, publishing your own privacy policy, and honoring data subject requests. You agree to handle Customer personal data only as permitted by applicable law and the DPA.
d. Permissions Creators Must Maintain. If you are a Creator, you represent and warrant that you will obtain and maintain all applicable licenses, permits, and authorizations ("Permissions") for your Creator Content, and comply with all applicable laws. You agree to release CreatorStore and its officers, affiliates, representatives, contractors, directors, agents, and employees from all damages, losses, liabilities, costs, and expenses arising out of your Permissions or any failure to obtain or maintain them.
e. Anti-Spam Compliance. By using the Service, you agree to comply with the U.S. CAN-SPAM Act, Canada's CASL, the EU ePrivacy Directive, and other applicable laws relating to commercial electronic messages sent by you through CreatorStore. You agree to indemnify and hold CreatorStore harmless against any loss arising out of your failure to comply.
3. Payment and Fees
a. Creator Subscription Fees. Creator subscription fees are charged in advance (monthly or annual). You represent that your payment information is true and that you are authorized to use it, and you will promptly update any changes. You authorize us to bill your payment instrument periodically until you terminate your account. If you dispute charges, you must tell us within sixty (60) days. We may change prices on at least thirty (30) days' notice. You are responsible for all taxes other than taxes based on our net income. If your payment fails, we may suspend or revoke access.
b. Customer Payments to Creators. Payments by Customers for Creator Content are processed through Stripe, Inc. ("Stripe"). CreatorStore is not a party to the transaction between the Customer and the Creator. Stripe handles the technical processing and remits funds (less applicable fees) to the Creator's connected Stripe account. By using the payment features, both Creators and Customers agree to Stripe's Connected Account Agreement, Stripe Services Agreement, and Stripe's Global Privacy Policy. We are not responsible for the performance of Stripe.
c. International Use; Export Controls. Software available in connection with the Service is subject to export controls and may not be exported in violation of applicable law. You agree to comply with all local rules and laws regarding your use of the Service.
d. Marketplace Facilitator and Sales Tax. CreatorStore is a technology platform. Except where expressly required by law in a specific jurisdiction, CreatorStore does not act as the merchant of record, marketplace facilitator, or seller for Creator Content transactions. All payments for Creator Content flow directly from the Customer to the Creator's own Stripe Connected Account. Creators are solely responsible for (i) determining the correct sales, use, VAT, GST, digital services, and any other transaction taxes applicable to their sales; (ii) registering with applicable tax authorities in each jurisdiction where they have a tax obligation; (iii) collecting, reporting, and remitting all such taxes; (iv) issuing invoices, receipts, and any other tax documentation required by law; and (v) maintaining records for the periods required by applicable law.
Where applicable law imposes marketplace facilitator, digital services tax, or similar collection obligations directly on CreatorStore in a specific jurisdiction, CreatorStore reserves the right to (a) collect and remit the applicable taxes on behalf of Creators, (b) pass through the resulting compliance costs, fees, and taxes to Creators, and (c) require Creators to provide tax identification numbers, business registration information, and other documentation. Creators indemnify CreatorStore and its affiliates against any tax assessment, penalty, interest, audit cost, or professional fee arising out of or relating to the Creator's failure to comply with applicable tax obligations or the Creator's provision of inaccurate tax information.
4. Conditions of Use
a. User Conduct. You are solely responsible for all materials ("Materials") you upload or generate via the Service (collectively, including any Output and Creator Content, the "User Content"). You agree not to use the Service to: infringe intellectual property or other rights; upload Materials you have no right to upload; upload viruses or harmful code; create privacy or security risks; send spam or unauthorized advertising; upload unlawful, harmful, threatening, abusive, defamatory, obscene, pornographic, or otherwise objectionable Materials; upload adult or mature content (including AI-generated content of that nature); interfere with or disrupt the Service; violate any applicable law; impersonate any person or entity; solicit personal information from anyone under 18; harvest contact information for unsolicited communications; conduct unauthorized commercial activity; promote criminal activity; circumvent content protections or geographic restrictions (including via VPN); access materials not intentionally made available; or create fake, automated, or bot-generated accounts to manipulate referral revenue or activity. We may investigate and take action, including removing Materials, suspending accounts, and reporting to law enforcement.
b. Acceptable Use Policy. Your use of the Service is also governed by our Acceptable Use Policy ("AUP"), which is incorporated into these Terms of Service by reference. The AUP describes categories of prohibited content, technical activities, and commercial activities in greater detail than this Section 4, together with our enforcement approach. Any conflict between this Section 4 and the AUP is resolved in favor of whichever provision is more restrictive.
5. Intellectual Property Rights
a. Service Content, Software, and Trademarks. The Service may contain content protected by copyright, patent, trademark, trade secret, or other rights ("Service Content"). Except as expressly authorized, you may not modify, copy, frame, scrape, rent, sell, distribute, or create derivative works based on the Service or Service Content; this does not apply to your User Content. You will not use data mining, robots, or scraping. The CreatorStore name and logos are trademarks of CreatorStore Labs LLC; nothing here grants a license to use them without our prior written permission.
b. Third-Party Material. CreatorStore is not liable for any content or materials of third parties (including Creators and other users). We do not pre-screen content but may refuse or remove any content in our sole discretion.
c. License to User Content. As between you and us, you own all rights in your User Content, and you represent that it will not infringe any rights. You grant CreatorStore and its affiliates a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, irrevocable license to (i) copy, display, distribute, store, modify, and otherwise use User Content in connection with operating the Service and (except for Creator Content) promoting it; and (ii) with respect to content input into or generated from AI Autofill, create aggregated and/or anonymized data ("Aggregated Data") that does not identify you. Aggregated Data is not User Content.
d. License to Usage Data. You authorize us and our service providers to collect and analyze anonymized and aggregated metrics regarding your use of the Service ("Usage Data"), used solely in accordance with applicable law and our Privacy Policy.
e. Submissions. Any feedback, suggestions, or ideas about the Service ("Submissions") are non-confidential, and we may use them for any purpose without compensation to you.
f. Required Disclosures. We may preserve and disclose User Content if required by law or in the good-faith belief it is reasonably necessary to comply with legal process, enforce these Terms, respond to claims of third-party rights violations, or protect the rights, property, or safety of CreatorStore, our users, and the public.
g. Copyright Complaints (DMCA). If you believe your work has been infringed, notify us at [email protected] (Subject: "DMCA Takedown Request") with: a signature of the authorized person; a description of the copyrighted work; the location of the infringing material; your contact details; a good-faith-belief statement; and a statement under penalty of perjury that the information is accurate and that you are authorized to act.
Counter-Notice: If you believe your Materials were removed in error, you may send a counter-notice to the same email. Unless the copyright owner files a court action within 10 business days, removed Materials may be restored in 10 to 14 business days.
Repeat Infringer Policy: We terminate, in appropriate circumstances and in our sole discretion, users deemed to be repeat infringers.
6. Third-Party Websites and Integrations
The Service may link to or integrate with third-party services including Creator sites, Stripe (payment processing), and Google (Google Calendar and Google Meet for scheduling and video conferencing). When you connect Google services to the Service, you also agree to Google's own terms and privacy practices: Google Terms of Service and Google Privacy Policy. Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements — see Section 5 of our Privacy Policy.
We do not control and are not responsible for External Services and will not be liable for any damage or loss caused by your use of or reliance on them. Any dealings with third parties (including between Customers and Creators) are between you and the third party.
7. Social Networking Services
You may log in via third-party services (Instagram, Facebook, LinkedIn, X, TikTok, etc.). We may receive certain information from those services and will use it per our Privacy Policy. The way those services use your information is governed solely by their policies.
7A. Illegal or Infringing Content — Reporting, Removal, and Platform Safe Harbor
CreatorStore complies with the U.S. Communications Decency Act (47 U.S.C. § 230), the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512), the European Union Digital Services Act (Regulation 2022/2065), and equivalent applicable laws.
a. No Proactive Monitoring. CreatorStore is a hosting platform for content uploaded by Creators. We do not select, review, edit, endorse, or verify Creator Content before it is published, and we have no general obligation to monitor Creator Content. Consistent with 47 U.S.C. § 230, DMCA § 512(c), and DSA Article 6, CreatorStore is not liable for Creator Content unless and until it has actual knowledge of specific illegality and fails to act expeditiously to remove or disable access to such content upon receiving a valid notice.
b. Reporting Mechanism. Any person may report content that is unlawful or that infringes intellectual property rights by emailing [email protected] (Subject: "Illegal Content Report" or "DMCA Takedown Request") with (i) a description of the content and the specific reason it is alleged to be unlawful or infringing; (ii) the URL where the content is located on the Service; (iii) the reporter's name, address, telephone number, and email; (iv) for copyright infringement, a physical or electronic signature of the person authorized to act, a good-faith-belief statement, and a statement under penalty of perjury as required by DMCA § 512(c)(3); and (v) for reports of other illegality, the specific legal basis and jurisdiction relied upon.
c. Action on Reports. CreatorStore will acknowledge each properly submitted report within 48 hours and take appropriate action within a reasonable time based on the nature of the content, the legal basis of the report, and the sufficiency of the evidence provided. Actions may include content removal or disabling access, account suspension or termination, notice to the Creator, notice to reporting authorities, or refusal to act where CreatorStore reasonably determines that the report is unfounded, abusive, or does not meet the applicable legal requirements. CreatorStore's action or inaction on any specific report does not constitute an admission of liability, a waiver of any right or defense, or a representation about any other content on the Service.
d. Counter-Notice (DMCA). A Creator whose content has been removed or disabled in response to a copyright report may submit a counter-notice to the same email address containing the information required by DMCA § 512(g)(3). Unless the original reporter files a court action against the Creator within 10 business days, removed materials may be restored in 10 to 14 business days.
e. Repeat Infringer and Violator Policy. CreatorStore will terminate, in appropriate circumstances and in its sole discretion, the accounts of Creators who receive multiple substantiated infringement or illegal-content reports, or who are otherwise determined by CreatorStore to be repeat infringers or repeat violators of these Terms or applicable law.
f. Single Points of Contact. CreatorStore's designated agent for copyright notifications under the DMCA and single point of contact for Member State authorities, the European Commission, the European Board for Digital Services, and users under Articles 11 and 12 of the Digital Services Act is: CreatorStore Labs LLC, 30 N Gould St, STE R, Sheridan, WY 82801, USA, email [email protected]. English is the language accepted for communications.
g. Creator Indemnification. Creators represent and warrant that all Creator Content complies with applicable law and does not infringe any third-party rights. Creators shall indemnify, defend, and hold CreatorStore and its affiliates harmless from any claim, damage, penalty, cost, or attorneys' fee arising out of or relating to Creator Content, including intellectual property claims, defamation, privacy or publicity claims, consumer protection claims, and regulatory enforcement actions.
8. AI Technology
a. Overview. The Service includes AI-powered features (collectively, "AI Autofill" or "AI Technology") that allow you to submit text or other inputs ("Prompts") and receive AI-generated content in return ("Output"). AI Autofill is provided as a productivity aid only. AI Technology is powered by third-party foundation models operated by AI providers with whom CreatorStore has contractual arrangements.
b. No Warranty of Accuracy, Originality, or Fitness. Output may contain errors; may be inaccurate, incomplete, biased, or misleading; may not be unique; and may resemble or reproduce content generated by AI Technology for other users. You will exercise independent professional judgment before relying on, publishing, or distributing Output. CreatorStore makes no representation or warranty that Output is accurate, original, non-infringing, or fit for any particular purpose. You are solely responsible for reviewing, editing, and verifying Output before use.
c. Ownership of Output. As between you and CreatorStore, and subject to third-party rights and applicable law, you own the Output generated from your Prompts, provided that (i) you comply with these Terms of Service; (ii) you have the legal right to submit the underlying Prompts; and (iii) you do not use the Output for any prohibited purpose under Section 8(e). CreatorStore assigns to you all rights it may hold in the Output to the maximum extent necessary to give effect to this ownership, without warranty of title or non-infringement. AI Output may not be eligible for copyright protection in some jurisdictions; you are responsible for assessing enforceability.
d. No Training on Your Content. CreatorStore does not use your Prompts, Output, User Content, or Creator Content to train foundation AI models. CreatorStore's third-party AI providers are contractually bound to (i) use your data solely to provide the requested service; (ii) not use your data to train, fine-tune, or improve their general-purpose models; and (iii) delete or retain your data only as required to operate the service and comply with law.
e. Prohibited AI Uses. You will not use AI Autofill or Output to (i) generate content depicting real, identifiable persons in sexual, intimate, defamatory, humiliating, or misleading contexts, including so-called "deepfakes"; (ii) impersonate any individual, brand, or organization; (iii) generate synthetic voice, likeness, or biometric data of any person without that person's express written and revocable consent; (iv) generate content intended to deceive Customers about the identity, credentials, or endorsements of a Creator; (v) generate child sexual abuse material or content that sexualizes minors in any way; (vi) generate content that would violate Section 4 (User Conduct); (vii) circumvent technical protection measures, digital rights management, or paywalls; (viii) generate content used to make automated decisions with legal or similarly significant effects on individuals without appropriate human oversight; (ix) generate content designed to evade tax, sanctions, anti-money-laundering, or export-control obligations; or (x) generate content that misrepresents AI-generated material as human-created where such misrepresentation is prohibited by law.
f. Transparency and Regulatory Compliance. Where applicable law (including the EU AI Act) requires you to disclose that content was generated or materially altered by AI, you are solely responsible for making such disclosures on your storefront, product pages, marketing materials, and communications with Customers.
g. Third-Party AI Terms. Your use of AI Autofill may be subject to the terms of the underlying third-party AI providers, as listed in our Privacy Policy or documentation. Where those terms impose additional restrictions on Output (for example, restrictions on commercial use of Output containing likenesses), those restrictions apply to you and take precedence over any broader ownership rights granted in Section 8(c).
h. No Liability. To the maximum extent permitted by law, CreatorStore bears no liability arising from or relating to (i) your Prompts, Output, or use of AI Technology; (ii) any inaccuracy, infringement, or other defect in Output; (iii) decisions you make in reliance on Output; (iv) publication or distribution of Output by you; or (v) any claim by a third party arising out of your Output. This Section 8(h) is subject to Section 18 for EEA/UK consumers.
i. AI Indemnity. You agree to indemnify, defend, and hold CreatorStore and its affiliates harmless from any claim, damage, or expense (including reasonable attorneys' fees) arising out of your use of AI Technology or Output in violation of these Terms, in violation of third-party rights, or in violation of applicable law.
9. Indemnity and Release
You agree to release, indemnify, defend, and hold CreatorStore and its affiliates, officers, employees, directors, and agents ("Indemnitees") harmless from any and all claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Service; any User Content you upload or create; your connection to the Service; your violation of these Terms of Service; your violation of any rights of another; or your violation of any law. We may handle our own defense, in which case you agree to cooperate. You have no obligation to indemnify an Indemnitee for liability resulting from that Indemnitee's own action or inaction.
10. Disclaimer of Warranties
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." CREATORSTORE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CREATORSTORE MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE OR RELIABLE. Nothing in this Section affects statutory rights that cannot be excluded under applicable law (see Section 18).
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATORSTORE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS OR REVENUES, GOODWILL, USE, OR DATA, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE. IN NO EVENT WILL CREATORSTORE'S TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID CREATORSTORE IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing here limits liability that cannot be limited under applicable law (see Section 18).
12. Dispute Resolution by Binding Arbitration — Individuals (Excludes EEA/UK Consumers)
PLEASE READ THIS SECTION CAREFULLY. This Section does not apply to consumers resident in the EEA or the UK; their disputes are governed by Section 18 and the mandatory law of their country of residence.
a. Agreement to Arbitrate. You and CreatorStore agree that disputes arising out of or relating to these Terms of Service or the Service shall be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert individual claims in small claims court if they qualify, and either party may bring issues to the attention of government agencies. You and CreatorStore each waive the right to a jury trial and to participate in a class action. The Federal Arbitration Act governs this Arbitration Agreement.
b. Prohibition of Class and Representative Actions. YOU AND CREATORSTORE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.
c. Pre-Arbitration Dispute Resolution. Most concerns can be resolved by contacting [email protected]. If unsuccessful, a party intending to seek arbitration must first send a written Notice of Dispute by certified mail to 30 N Gould St, STE R, Sheridan, WY 82801, USA ("Notice Address"), describing the claim and the relief sought. If not resolved within sixty (60) days, either party may begin arbitration.
d. Arbitration Procedures. Arbitration will be conducted by a neutral arbitrator under the American Arbitration Association's ("AAA") Consumer Arbitration Rules, as modified here. The arbitrator must follow these Terms of Service. Hearings will take place in a reasonably convenient location. For claims of $10,000 or less, you may choose documents-only, telephonic, or in-person proceedings. The arbitrator will issue a reasoned written decision.
e. Costs of Arbitration. Arbitration fees are governed by the AAA Rules. If the relief sought is $75,000 or less, at your request we will pay all Arbitration Fees. If arbitration costs would be prohibitive compared with litigation, we will pay as much as the arbitrator deems necessary to prevent it from being cost-prohibitive.
f. Confidentiality and Severability. All aspects of the arbitration are confidential. If any term of this Arbitration Agreement (other than subsection (b)) is found invalid, it will be replaced with a valid term closest to the original intent. If subsection (b) is found invalid, the entire Arbitration Agreement is null and void.
g. Future Changes. If we change this Arbitration Agreement (other than the Notice Address) while you are a user, you may reject the change by written notice to the Notice Address within thirty (30) days.
13. Dispute Resolution by Binding Arbitration — Entities
You and CreatorStore intend these Terms of Service to be governed by the laws of the State of Wyoming without regard to conflict-of-law rules. Any dispute relating to these Terms of Service shall be determined through confidential binding arbitration in Sheridan County, Wyoming before one arbitrator, administered by AAA under its Commercial Arbitration Rules. Judgment may be entered in any court of competent jurisdiction.
14. Termination and Suspension
a. Termination by You. You may terminate your account at any time by contacting [email protected] or through in-Service account settings. Termination does not entitle you to a refund of prepaid subscription fees except as required by applicable law (see Section 18 for EEA/UK consumers).
b. Termination by CreatorStore. CreatorStore may suspend or terminate your access to the Service, remove or disable your User Content, or restrict features, at any time and for any reason, including but not limited to (i) violation of these Terms of Service, our Acceptable Use Policy, our Privacy Policy, or applicable law; (ii) actual, suspected, or attempted fraud, abuse, or illegal activity; (iii) risk to CreatorStore, its users, Stripe, or third parties; (iv) excessive chargebacks, disputes, or Customer complaints; (v) non-payment of fees; (vi) disputes over account ownership; (vii) inactivity; or (viii) response to legal process or regulatory demand.
c. Notice. Where CreatorStore terminates your account for cause other than fraud, illegality, security risk, imminent harm, or regulatory demand, we will use commercially reasonable efforts to provide at least thirty (30) days' prior notice by email or in-Service notification. Where the termination is for fraud, illegality, security risk, imminent harm, regulatory demand, or an emergency, termination may be immediate and without prior notice.
d. Data Export and Portability. Except where prohibited by law or where a data-preservation obligation applies, a Creator whose account is being terminated for cause other than fraud or illegality may request an export of the Creator's own account data (products, customer email list, order history, and store configuration) within thirty (30) days after termination. Export is provided in a machine-readable format (CSV or JSON) at no charge. Requests submitted more than thirty (30) days after termination may be refused or accepted at CreatorStore's discretion.
e. Funds and Payouts on Termination. Funds held in a Creator's connected Stripe account remain governed by Stripe's Connected Account Agreement and are subject to Stripe's own hold, review, and release procedures. CreatorStore does not custody Creator sales proceeds. Where CreatorStore is entitled under Section 1(h) to offsets, reserves, or fee recovery, we may direct Stripe (to the extent permitted by Stripe's arrangements) to hold funds or reverse payouts pending resolution of chargebacks, refund liabilities, platform fees, taxes, or investigation. Any residual funds remaining after resolution are released in accordance with Stripe's procedures.
f. Effect of Termination. Upon termination or expiration of your account: (i) your right to access and use the Service ends immediately; (ii) CreatorStore may delete or de-identify your User Content, personal information, and account data in accordance with our Privacy Policy and Data Retention practices, except where retention is required by law; (iii) Customer-facing storefronts, checkout links, and download links may be disabled without further notice; (iv) any outstanding fees, chargeback fees, taxes, or amounts owed by you to CreatorStore become immediately due and payable; and (v) any license you granted to CreatorStore in User Content under Section 5(c) survives to the extent necessary to (A) operate the Service for other users, (B) comply with law, (C) resolve disputes, and (D) enforce these Terms.
g. Referral to Authorities. Suspected fraudulent, abusive, or illegal activity may be reported to law enforcement, tax authorities, financial regulators, or intellectual property rights holders. CreatorStore may cooperate with legal process and preserve evidence.
h. Survival. Upon termination, you remain bound by Sections 1(g), 1(h), 3(d), 5, 7A, 8, 9, 10, 11, 12, 13, 14, 15, 16, 17, 18, 18A, 19, and 20, together with any other provision that by its nature should survive termination.
15. User Disputes and Interactions Between Users
a. Disputes Between Users Are Between Those Users. You are solely responsible for all interactions, communications, transactions, agreements, and disputes with other users of the Service, including but not limited to disputes between Customers and Creators, disputes among Creators, and disputes among Customers. CreatorStore is not a party to and has no liability for any such dispute or its outcome, including any claim for refunds, chargebacks, non-delivery, defective delivery, misrepresentation, fraud, defamation, harassment, breach of a Creator's Terms & Conditions, personal injury, or any other cause of action arising from user-to-user interaction on or through the Service.
b. No Duty to Investigate or Mediate. CreatorStore has no obligation to (i) investigate any user-to-user dispute; (ii) mediate, arbitrate, negotiate, or take any position on any such dispute; (iii) provide legal or factual information about one user to another user beyond what is required by applicable law or legal process; (iv) enforce a Creator's Terms & Conditions against a Customer, or a Customer's rights against a Creator; or (v) refund, reverse, or otherwise remedy any Customer's payment to a Creator except where required by Stripe's rules or applicable law. Customers seeking refunds must contact the Creator directly. Creators seeking payment or performance from a Customer must pursue the Customer directly.
c. Voluntary Assistance. CreatorStore may, in its sole and absolute discretion and without obligation, provide limited administrative assistance to users involved in a dispute (for example, forwarding communications, disabling contested content, or preserving evidence in response to legal process). Any such assistance is provided as a courtesy, does not constitute an admission of liability, does not create any obligation to provide similar assistance in other disputes, and does not make CreatorStore a party to the dispute.
d. Release. To the maximum extent permitted by applicable law, you release CreatorStore, its affiliates, officers, employees, directors, and agents from any claim, demand, damage, loss, cost, and expense (including reasonable attorneys' fees) of every kind and nature, known and unknown, arising out of or in any way connected with any dispute between you and any other user of the Service. If you are a California resident, you waive California Civil Code § 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
16. General
a. Entire Agreement. These Terms of Service (with the Privacy Policy, Cookie Policy, and any applicable DPA) constitute the entire agreement and supersede prior agreements regarding the Service.
b. Governing Law. These Terms of Service are governed by the laws of the State of Wyoming without regard to conflict-of-law provisions. For disputes not subject to arbitration, you and CreatorStore submit to the exclusive jurisdiction of the courts located in Sheridan County, Wyoming. This Section is subject to Section 18 for EEA/UK consumers.
c. No Waiver. Our failure to enforce any right or provision is not a waiver of it.
d. Unenforceability and Time Limit. If any provision is found invalid, the remaining provisions remain in effect. Any claim arising out of the Service or these Terms of Service must be filed within one (1) year after it arose, except where applicable mandatory law (including for EEA/UK consumers) provides a longer non-waivable period.
e. Assignment. You may not assign these Terms of Service without our consent; CreatorStore may assign them without restriction.
f. Notices. Notices to you may be made by email or regular mail, or by posting on the Service.
g. Our Relationship — Technology Provider Only; No Agency, Employment, or Fiduciary Duty. Nothing in these Terms of Service creates any employment, joint-employer, agency, partnership, joint venture, franchise, sales-representative, distribution, brokerage, escrow, trustee, or fiduciary relationship between you and CreatorStore. You are not, and will not represent yourself or your business as, an employee, agent, representative, partner, or fiduciary of CreatorStore, and you have no authority to bind CreatorStore or make any commitment on CreatorStore's behalf. CreatorStore does not owe you, and expressly disclaims, any fiduciary duty, quasi-fiduciary duty, duty of loyalty, duty of good faith and fair dealing beyond that implied by applicable law, duty of care, duty to advise, duty of confidentiality (beyond the Privacy Policy and DPA), duty of best execution, duty to obtain best price, duty to maximize sales, or duty to promote your business. CreatorStore's obligations to you are strictly limited to (i) providing the technology platform functionality described in these Terms of Service on an "as is" and "as available" basis under Section 10 and Section 11, and (ii) complying with mandatory obligations imposed on CreatorStore by applicable law that cannot be waived by contract. This Section 16(g) is subject to Section 18 for EEA/UK consumers.
h. Force Majeure. CreatorStore will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, labor disputes, governmental action, power or internet failures, or the failure of third-party providers, payment processors, or networks.
i. Interpretation. The section headings in these Terms of Service are for convenience only and have no legal or contractual effect.
17. Your Privacy
We respect your privacy. See our Privacy Policy at https://creatorstore.co/privacy. By using the Service, you consent to our collection and use of personal information as described there.
18. Special Provisions for EU/UK Users
If you are a consumer based in the European Economic Area (EEA), the United Kingdom, or Switzerland, the following apply in addition to, and in case of conflict in place of, the corresponding sections above:
Mandatory consumer rights: Nothing in these Terms of Service limits your non-waivable rights as a consumer, including statutory warranties and the right to withdraw from distance contracts.
No mandatory arbitration / class waiver: The arbitration agreement and class-action waiver in Section 12 do not apply to you. You may bring proceedings in the courts of your country of residence, and the mandatory law of that country applies.
Right of withdrawal: Consumers may have a 14-day right of withdrawal from distance contracts. For Creator Content, this right applies in your relationship with the Creator. For CreatorStore subscription purchases by Creators, the right does not apply where the service has been fully performed with your prior express consent and acknowledgment that you lose the right.
Governing law: Where the mandatory consumer protection laws of your country of residence apply, those laws govern the relevant aspects of these Terms of Service.
Online Dispute Resolution: The European Commission's ODR platform is at https://ec.europa.eu/consumers/odr.
18A. EU Platform-to-Business Regulation (Business Users in the EU)
If you are a Creator or other business user of the Service and are established in the European Union, the following provisions apply in addition to the other terms of this Agreement, in accordance with Regulation (EU) 2019/1150 on promoting fairness and transparency for business users of online intermediation services ("P2B Regulation").
a. Advance Notice of Changes. CreatorStore will provide business users with at least fifteen (15) days' advance notice of any material change to these Terms of Service, our Acceptable Use Policy, or other terms applicable to business users, by email or in-Service notification. Longer notice periods will apply where required for a business user to make necessary technical or commercial adaptations. Notice periods do not apply where (i) CreatorStore is subject to a legal or regulatory obligation to change terms in a manner that does not allow for a fifteen (15) day notice; (ii) the change is required to address an imminent security, fraud, malware, spam, data protection, or other cybersecurity risk; or (iii) the change is required to protect users or third parties from imminent harm.
b. Ranking and Visibility. Where the Service displays Creator stores, products, or content to Customers in a ranked order, the main parameters determining ranking are (in typical priority): relevance to the Customer's search or browsing context; recency of Creator activity and product updates; Creator engagement metrics (Customer conversion, refund rate, review score); Creator subscription tier; and paid promotion where applicable. Direct or indirect remuneration paid to CreatorStore may influence ranking; where this is the case, we will disclose the fact of paid ranking. Ranking parameters may be updated from time to time based on Customer feedback and platform performance.
c. Ancillary Goods and Services. The Service does not currently permit CreatorStore or third parties to offer ancillary goods or services alongside Creator Content in a manner that would require disclosure under Article 6 of the P2B Regulation. If we introduce such offerings in the future, we will provide advance notice and description.
d. Differentiated Treatment. CreatorStore does not accord differentiated treatment to CreatorStore-owned goods, services, or Creator accounts relative to those of independent Creators, except in respect of paid promotion features that are equally available to all business users.
e. Access to Data. Business users have access to (i) the personal and non-personal data that they and their Customers provide through the Service, via the Creator dashboard and export tools; and (ii) aggregated data about their own storefront's traffic, sales, and Customer interactions. CreatorStore does not share Customer personal data of one Creator with another Creator.
f. Restrictions on Alternative Sales Channels. Creators are free to offer Creator Content through alternative channels, including their own websites, other platforms, or offline. CreatorStore does not require exclusivity.
g. Suspension and Termination Notice. Where CreatorStore restricts, suspends, or terminates a business user's account for reasons other than fraud, illegality, security risk, or repeated violation, we will provide the reasons for the decision on a durable medium, and where possible, an opportunity to clarify or remedy the underlying issue. This is in addition to the procedure set out in Section 14.
h. Internal Complaint-Handling System. Business users may submit complaints about CreatorStore's compliance with these Terms or the P2B Regulation by emailing [email protected] (Subject: "P2B Complaint"). CreatorStore will acknowledge complaints within five (5) business days and provide a substantive response within thirty (30) days. Complaints are handled confidentially and free of charge.
i. Mediation. Where an internal complaint remains unresolved, business users may seek mediation from a mediator listed on the European Commission's list of mediators established under Article 12 of the P2B Regulation. Nothing in this Section limits business users' right to pursue judicial remedies.
